These Terms & Conditions ("Terms") govern your use of our website and related services, and purchases of products and services from Galaxy Kitchen Depot INC. ("GKD", "we", "us", "our"). By accessing our website, requesting a quote, placing an order, signing a pickup/delivery form, or purchasing from us, you agree to these Terms.

1) Definitions
- Products: Kitchen cabinets, bathroom vanities, RTA (ready-to-assemble) cabinets, countertops (including quartz), hardware, accessories, closet systems, outdoor kitchen cabinetry, and related items sold by GKD.
- RTA Cabinets: Ready-to-assemble cabinets sold unassembled in flat-pack form, to be assembled by the customer or their contractor.
- Custom/Manufactured Products: Cabinets and items manufactured to your specifications by GKD's in-house manufacturing team.
- Special Order: Items ordered to your specifications or not regularly stocked, including imported European materials.
- Services: Design assistance, 3D renderings, professional guidance, measurements (if offered), delivery coordination, and/or installation coordination.
- Order: Any quote acceptance, invoice payment, purchase order, or checkout confirmation.
- Business Partner/Wholesale Customer: Contractors, designers, builders, or businesses with an approved Business Partner account.
- Retail Customer: Individual consumers purchasing for personal use.
2) Quotes, Design Renderings & Measurements
- Free Estimates: We provide free preliminary estimates based on your project requirements, including product selections, services needed, special requests, custom manufacturing, and design specifications.
- Quote Validity: Quotes are generally valid for 14 days unless stated otherwise and may change due to supplier pricing, freight, availability, or scope changes.
- 3D Renderings: We offer advanced 3D design services with hyper-realistic virtual renderings. These are planning tools only. Final suitability depends on field conditions and final measurements. Accurate room measurements are required to begin.
- Customer-Provided Plans: Bringing your own plans, floor plans, site photographs, or measurements is highly recommended. If you provide measurements, you are responsible for their accuracy.
- GKD Measurements (if offered): Measurements are limited to what is visible/accessible and may not account for hidden conditions (walls out of plumb, uneven floors, utilities constraints, etc.).
- Changes After Approval: Any change after approval may affect pricing, lead times, and return eligibility.
3) Payment Terms, Late Payment & Collections
- Payment Due Date: Invoices are payable within 21 working days, unless another timeframe is stated on the invoice or order.
- Deposits: Custom/manufactured orders and special orders may require a deposit before production begins. Deposit amounts and terms will be stated on your quote.
- Late Payment: In the event of non-payment by the due date, GKD reserves the right to request a fixed interest payment amounting to 10% of the sum remaining due (to the maximum extent permitted by applicable law).
- Suspension: GKD may suspend delivery, fulfillment, or services in the event of late payment without prior warning.
- Collections: If payment remains outstanding more than 60 days after the due date, GKD reserves the right to use a debt recovery company. All reasonable legal and collection expenses will be payable by the client where permitted by law.
- Wholesale/Contractor Accounts: Payment terms for Business Partners are specified in your account agreement and may differ from standard terms.
4) Taxes & Withholding
We collect applicable Florida sales tax unless a valid tax exemption or resale certificate is provided and accepted at the time of purchase. Business Partners must provide a valid resale certificate to qualify for tax-exempt purchases. Certain jurisdictions may apply withholding at source according to local legislation; any such withholding is the client's responsibility.
5) Lead Times, Availability & Substitutions
- Lead Time Estimates: Lead times are estimates and not guarantees. Delays may occur due to manufacturing, shipping, weather, customs, or supply-chain disruptions.
- RTA/In-Stock Items: RTA cabinets and quartz countertops in stock can often be picked up or delivered the same day, subject to availability.
- Custom Orders: Custom/manufactured orders require production time. Estimated timelines will be provided when you place your order.
- Substitutions: If a Product becomes unavailable, we may offer a comparable substitute at the same or lower price, or cancel/refund the unavailable portion.
6) Pickup, Delivery & Shipping
6.1 Pickup Options
- Same-Day Pickup: Available for RTA cabinets and in-stock items, subject to availability. Custom orders require scheduled pickup after production completion.
- Pickup Locations: Available at our Miami - Hialeah Gardens, Miami - Doral, and Tampa locations during business hours.
- Pickup Timing: Merchandise must be picked up on the assigned dispatch day or as scheduled. Failure to pick up on the scheduled date may result in storage fees.
- Risk of Loss (Pickup): Risk of loss transfers to you when Products are released to you or your carrier at our facility.
- Inspection at Pickup: Inspect all Products before leaving our facility. Sign the pickup form to acknowledge receipt. Note any visible damage or discrepancies on the form before signing.
6.2 Delivery Options
- Delivery Service Levels: Delivery service levels (curbside, threshold, room of choice, white glove) will be stated on your invoice. Additional fees apply for premium service levels.
- Delivery Area: We deliver throughout South and Central Florida. Delivery fees are calculated based on distance and service level.
- Scheduling: Delivery dates and time windows will be scheduled in advance. You will receive SMS/email notifications with scheduling updates.
- Risk of Loss (Delivery): Risk of loss transfers upon delivery to the destination address at the service level stated on your invoice.
6.3 Delivery Access & Requirements
- Access Responsibility: You are responsible for ensuring adequate delivery access including stairs, elevators, narrow hallways, parking, gated community access, and building restrictions.
- Difficult Access Fees: Additional fees may apply for difficult access conditions including but not limited to: flights of stairs, long carry distances, elevator reservations, and waiting time beyond 15 minutes.
- Failed Delivery: If delivery cannot be completed due to access issues, customer unavailability, or incorrect address, re-delivery fees will apply.
- Someone Must Be Present: An authorized adult (18+) must be present to receive delivery, inspect Products, and sign the delivery receipt.
6.4 Shipping (Non-Local)
- Freight Shipping: Orders shipped outside our local delivery area will be sent via freight carrier. Freight charges are calculated separately and stated on your invoice.
- Freight Damage: Inspect shipments immediately upon arrival. Note any damage on the carrier's delivery receipt before signing. Report damage to GKD within 48 hours with photos.
- Freight Claims: GKD will assist with freight claims but is not liable for carrier damage. Resolution depends on carrier policies.
7) Inspection, Acceptance & Claims
- Merchandise Acceptance: By signing the pickup/delivery form, you confirm you received the merchandise and are satisfied with the quantity and visible condition, except as noted on the form.
- Inspect Immediately: Inspect Products at pickup/delivery and note visible damage or missing items on the delivery receipt before signing.
- Claims Notice: For a claim to be admissible, GKD must be notified within 8 days of delivery/provision of services, and within any shorter carrier/manufacturer deadlines stated on your invoice/shipping documents.
- Concealed Damage: Report concealed damage within 3-7 days of delivery with photos. Retain all original packaging until the claim is resolved.
- No Installation Before Inspection: Do not install suspected damaged or defective items. Installation may void claim eligibility. See Section 10 for RTA-specific terms.
8) Storage, Holding & Abandoned Orders
- Pickup Timing: Merchandise must be picked up on the assigned dispatch day (or as scheduled).
- Storage Fees: If not picked up on the dispatch day, a storage fee of $50.00 per day will apply and will be added to your final invoice at pickup/delivery.
- Storage Notification: We will attempt to contact you via phone, email, or SMS to arrange pickup before storage fees accumulate.
- Abandoned Orders: Orders not collected within 60 days after notification may be treated as abandoned as permitted by Florida law. GKD may cancel the order, dispose of or resell Products, and apply any proceeds to amounts owed. Any remaining balance will still be due.
9) Returns, Exchanges & Restocking
All returns and exchanges require prior written approval from GKD and are subject to inspection and manufacturer policies.
9.1 Restocking Fee
A 15% restocking fee applies to all approved eligible returns, plus any inbound/outbound freight or delivery costs where applicable.
9.2 Eligible Returns
- Must be requested within 15 days of purchase/receipt (as applicable)
- Products must be unused, uninstalled, and in original unopened packaging in resalable condition
- RTA cabinets must be unassembled and in original sealed packaging
- Customer is responsible for return shipping/transport costs
9.3 Non-Returnable Items
- Cabinets or items that have been assembled and/or installed
- Panels, moldings, fillers, toe kicks (TKS)
- Sinks and faucets
- Cut or fabricated countertops
- Custom/manufactured items made to your specifications
- Special order items
- Items marked as "Final Sale" or "Non-Returnable" on your invoice
- Items with visible signs of use, damage, or modification
9.4 Return Process
- Contact us to request a Return Authorization (RA) number
- Products returned without an RA number will not be accepted
- Pack items securely in original packaging
- Refunds will be issued after inspection confirms eligibility, minus restocking fee
10) RTA (Ready-to-Assemble) Cabinet Terms
The following terms apply specifically to RTA (ready-to-assemble) cabinet purchases:
- Assembly Responsibility: RTA cabinets are sold unassembled. Assembly is your responsibility unless you purchase installation services from GKD.
- Inspection Before Assembly: You must inspect all RTA cabinet components before assembly. Check for damage, defects, missing parts, and correct finishes/colors.
- No Returns After Assembly: We do not accept returns, exchanges, or claims for RTA cabinets that have been assembled, regardless of whether they have been installed. Once assembled, the product is considered used.
- No Returns for Damaged Assembled Cabinets: If you discover damage or defects after assembling an RTA cabinet, we cannot accept it for return or exchange. This is why pre-assembly inspection is critical.
- Defective Parts (Unassembled): If you discover defective parts before assembly, contact us within 8 days of receipt with photos. We will replace defective components at no charge.
- Missing Parts: Report missing parts within 8 days of receipt. We will ship replacement parts promptly.
- Assembly Instructions: Follow manufacturer assembly instructions carefully. Improper assembly may void warranty claims.
11) Defective Products & Warranty
- Defective Products: Defective products will be exchanged only if they have not been assembled or installed and consistent with manufacturer policy.
- Report Promptly: Report defects within 8 days of receipt with photos and description.
- Manufacturer Warranty: Manufacturer warranties (if any) apply. Warranty terms and duration vary by product and manufacturer. We do not provide warranties beyond those expressly provided by the manufacturer to the maximum extent permitted by law.
- Warranty Claims: GKD will assist in processing warranty claims with manufacturers but is not responsible for manufacturer decisions or timelines.
12) Installation & Assembly
- Not Included: Installation and/or assembly are not included with product purchases unless you purchase installation services as an additional charge.
- Comprehensive Projects: We offer professional installation as part of comprehensive projects that include design, cabinetry (RTA or custom-manufactured), and complete installation—handling everything from concept to completion.
- Independent Contractors: If GKD coordinates installation, installers may be independent contractors unless a separate written agreement states otherwise.
- Site Readiness: You are responsible for site readiness including: clearing the work area, completing prerequisite work (plumbing rough-in, electrical, flooring, drywall, painting), obtaining necessary permits, HOA approvals, and coordinating third-party trades.
- Installation Delays: If the site is not ready when installers arrive, additional trip charges may apply.
13) Wholesale & Contractor Accounts (Business Partners)
13.1 Business Partner Accounts
- Eligibility: Contractors, designers, builders, and businesses may apply for a Business Partner account to access wholesale pricing and benefits.
- Application: Complete the Business Partner Form on our website. After review, a business assistant will contact you with account details.
- Required Documentation: Valid business license, resale certificate (for tax exemption), and other documentation as requested.
- Account Approval: GKD reserves the right to approve or decline Business Partner applications at our discretion.
13.2 Wholesale Pricing & Terms
- Wholesale Pricing: Business Partners receive special wholesale pricing as specified in their account agreement. Pricing is confidential and for business use only.
- Minimum Orders: Minimum order requirements may apply for wholesale pricing.
- Payment Terms: Business Partner payment terms are specified in your account agreement and may include net terms (Net 15, Net 30) based on credit approval.
- Credit Limits: Credit limits are established during account setup and may be adjusted based on payment history.
13.3 Contractor Responsibilities
- Licensing: Contractors must maintain valid, current contractor licenses as required by Florida law.
- Insurance: Contractors are responsible for maintaining appropriate liability and workers' compensation insurance.
- End Customer Relations: GKD's relationship is with the Business Partner. The Business Partner is responsible for their end customer relationships, warranties, and service.
- Product Knowledge: Business Partners are responsible for understanding product specifications and suitability for their projects.
13.4 Account Termination
- GKD may suspend or terminate Business Partner accounts for non-payment, misuse of wholesale pricing, or violation of these Terms.
- Outstanding balances remain due upon account termination.
14) Limitation of Liability
To the maximum extent permitted by Florida law, GKD will not be liable for indirect, incidental, special, consequential, or punitive damages (including project delays, loss of profit, loss of use, or costs of substitute products/services). GKD's total liability for any claim will not exceed the amount you paid for the specific Product(s) or Service(s) giving rise to the claim.
GKD is not liable for delays or failures in performance resulting from circumstances beyond our reasonable control, including but not limited to: supplier delays, shipping carrier delays, natural disasters, pandemics, labor disputes, or government actions.
15) Governing Law & Venue
All contractual relations will be governed by the laws of the State of Florida, without regard to conflict-of-law rules. Unless otherwise required by law, any legal action will be brought in the state or federal courts located in Miami-Dade County, Florida.
16) Updates to These Terms
We may update these Terms from time to time. The "Last Updated" date reflects the latest version. Continued use of our website or purchases after updates constitutes acceptance of the revised Terms.
